F.L. PUTNAM ACQUIRES SEASCAPE CAPITAL MANAGEMENT

F.L. Putnam Investment Management Company, of Lynnfield, Mass., has acquired Portsmouth-based Seascape Capital Management LLC, an independent registered investment adviser with more than $500 million in assets under management.

Founded in 2003, Seascape provides wealth and investment management services to high-net-worth individuals and families, with a client base that includes business owners, executives and retirees. The firm is led by CEO Monica McCarthy.

F.L. Putnam CEO Tom Manning said the acquisition strengthens the firm’s presence in New Hampshire, following the opening of its Portsmouth office last year, and expands its financial planning and investment capabilities.

McCarthy said joining F.L. Putnam will allow Seascape to broaden its services while maintaining its personalized approach to client relationships. She said the firms share a long-term, client-focused philosophy.

As part of the transaction, the entire Seascape team has joined F.L. Putnam, including Andrew Litzerman and Christian “Chrissy” Sullivan.

Financial terms of the acquisition, which closed June 30, were not disclosed. Colchester Partners served as Seascape’s exclusive financial adviser.

SKILLSOFT COMPLETES SALE OF GLOBAL KNOWLEDGE BUSINESS

Skillsoft (NYSE: SKIL) has completed the sale of its Global Knowledge business to an affiliate of Enduring Ventures, completing a transaction that streamlines the company to focus exclusively on its AI-native skills management platform.

The Nashua-based company said it will maintain a strategic partnership with Global Knowledge, allowing Skillsoft customers to continue accessing instructor-led training, while Global Knowledge customers retain access to Skillsoft’s learning platform, content and skills intelligence tools.

CEO Ron Hovsepian said the sale simplifies Skillsoft’s business and enables the company to concentrate its resources on helping organizations manage workforce skills as artificial intelligence rapidly changes business needs.

Global Knowledge CEO Darren Bance said operating as an independent company under Enduring Ventures will allow the business to better serve customers facing workforce transformation driven by AI and cybersecurity.

Under the terms of the deal, first announced in May, Skillsoft received initial consideration of approximately $5.4 million in the form of a seller note, subject to customary post-closing adjustments. The company is also eligible to receive up to an additional $8 million in deferred consideration after accounting for approximately $2 million in long-term employee liabilities.

Enduring Ventures Managing Director Zack Onisko said Global Knowledge’s expertise in live technology training positions it well to help organizations retrain employees for an AI-driven economy.
